SCHOX.vc Conflict Disclosure

Schox Patent Group :: I am the founding Partner and 100% shareholder of Schox Professional Corporation (also known as Schox Patent Group). The entire thesis of the Schox.vc fund is to invest in clients of Schox Patent Group and, in some ways, there is an inherent conflict with this arrangement. If you are not comfortable with this arrangement, please do not invest.

Trucks Venture Capital :: I am a founding General Partner at Trucks Venture Capital (Trucks.vc), which raised $70M across two funds. The Trucks.vc fund focuses on transportation, including autonomous vehicles and urban mobility. There is a significant cross-over between the clients of Schox Patent Group and the investments of Trucks.vc. While the Trucks.vc fund has an exclusive on my transportation investments, I have been granted an exception to invest “in clients of Schox Patent Group that are not in the transportation industry or related technologies” and “up to $250,000 in each client of Schox Patent Group that is in the transportation industry or related technologies."

Other Investments :: My wife Kathryn Schox and I, from our personal funds, will continue to make LP investments into other funds and SPVs, and to make small angel investments (less than $25K) outside of the clients of the law firm. We will continue to advise companies and found companies, and stock for advising and founding will not be shared with Schox.vc.

Time Allocation :: I spend nearly all of my work hours on Schox Patent Group, Trucks Venture Capital, and Schox Philanthropy, and - while I have a weekly meeting to identify, evaluate, and close investment opportunities for Schox.vc - I could miss an investment opportunity.
